Terms of business

These terms apply to every project and monthly plan WebUp provides. Your written quote sets out the specific work, price and timings for your project. If the quote and these terms disagree, the quote wins.

1. About us

"WebUp", "we" and "us" means WebUp Ltd, registered in England and Wales under company number 17565078. "You" means the business or person who accepts our quote.

2. Quotes and scope

  • Every project starts with a free, fixed written quote describing the pages, features and price. Quotes are valid for 30 days.
  • The contract starts when you accept the quote in writing (email is fine) and pay the deposit.
  • Work not described in the quote is extra. We will always tell you the price and get your agreement before doing it.

3. Payment

  • Builds: 50% deposit to start, and the remaining 50% when the site is ready to launch, before it goes live.
  • Monthly plans: billed monthly in advance, starting from the month your site launches.
  • Invoices are due within 14 days. If an invoice is more than 30 days overdue we may pause work or hosting after giving you 7 days’ written notice.
  • Prices are shown in pounds sterling. If we become VAT registered, VAT will be added where it applies.

4. Design, revisions and sign-off

  • Each build includes two rounds of design revisions. Further rounds are charged at our standard day rate, which we will confirm first.
  • Before launch we will ask you to review and approve the site. Once approved, the site is considered complete.
  • Timings in your quote depend on receiving your text, photos and feedback on time. Delays on your side may move the launch date.

5. Your responsibilities

  • Provide accurate content and information about your business.
  • Make sure you have the right to use any text, images, logos or other material you send us.
  • Keep your portal login and any passwords secure.
  • Make sure your website content complies with the law that applies to your business.

6. Who owns the website

  • Once the build is paid in full, you own the website’s design, your content and your domain name.
  • We keep ownership of our own reusable code, tools and know-how, and give you a permanent licence to use them as part of your website.
  • Some parts of your site may use open-source software or third-party services, which stay under their own licences.
  • Unless you tell us otherwise, we may show your website in our portfolio and mention you as a client.

7. Monthly platform and care plans

  • Your plan includes hosting, SSL certificate, security updates, backups, monitoring and email support, as described on our pricing page.
  • Small content changes, such as updating text, photos, prices or opening hours, are included. New pages, new features and redesigns are quoted separately.
  • There is no minimum term after launch. You can cancel at any time with 30 days’ written notice.
  • If you cancel, we will hand over your website files and content and help you move your domain to a new provider.
  • We aim to keep your site online at all times, but we cannot guarantee uninterrupted service, as hosting relies on third-party providers.

8. Third-party services

Your website may rely on services such as domain registrars, hosting providers, payment processors or booking tools. Their own terms and fees apply, and we are not responsible for their outages or changes, although we will help you resolve any problems.

9. Liability

  • We will carry out our work with reasonable care and skill.
  • Our total liability to you under any project or plan is limited to the amount you paid us in the 12 months before the claim.
  • We are not liable for indirect or consequential losses, such as loss of profit, revenue, data or business opportunity.
  • Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

10. Confidentiality and data

We keep your business information confidential and only use it to deliver our services. We handle personal data as described in our privacy policy. Where we process personal data on your behalf, for example customer enquiries sent through your website, we do so only on your instructions and in line with UK data protection law.

11. Ending a project

  • Either of us can end a project in writing if the other seriously breaks these terms and does not fix it within 14 days.
  • If a project ends early, you pay for the work done up to that point. The deposit covers the work completed so far.

12. General

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you have a question about these terms, email alberto@web-up.uk.
